Corporate Attorney

Job Description:
The Corporate Attorney will specialize in corporate formation & governance, private placement offerings, mergers and acquisitions, and commercial contracts for businesses in the regulated cannabis, hemp, and psychedelics industries. Provide legal counsel on corporate matters related to the cannabis, hemp, psychedelics and emerging consumer product industries. Advise clients on corporate transactions, including mergers and acquisitions, joint ventures, private placement financing, corporate governance, and corporate structuring. Analyze and interpret laws, rulings, and regulations, ensuring clients remain compliant with evolving industry standards. Draft, review, and negotiate a wide range of contracts, agreements, and corporate documents. Stay informed on developments in cannabis, hemp, and psychedelics regulations, including conflicts between state and federal laws. Assess legal risks, anticipate regulatory challenges, and develop strategic solutions for clients. Serve as a subject matter expert on corporate law and regulatory compliance, providing guidance to both clients and internal stakeholders. Participate in the firm s Corporate Practice Group and contribute to business development efforts.
